This Requestor Agreement is part of your agreement with Uru Capital LLC, a Delaware limited liability company doing business as GetABrain.ai ("GetABrain", "we", "us"). It supplements our Terms of Service, which include a binding individual arbitration agreement and class-action waiver (with a 30-day opt-out), our Acceptable Use Policy, and our Privacy Policy.
You are issued API credentials (an API key and secret) to access the Service. You are fully responsible for their security and use:
You are solely responsible for all content you submit through the Service, including the content of all Queries, attachments, and instructions to Workers. GetABrain acts as a neutral intermediary and does not review, endorse, or assume liability for the content of your Queries. You represent and warrant that you have all rights, consents, and authority necessary to submit your content and to have Workers respond to it.
You must not submit content that is prohibited by our Acceptable Use Policy. This includes, without limitation, content that is illegal, that promotes violence, exploitation, or harm, that involves child sexual abuse material (CSAM) or any child exploitation, or that infringes the intellectual property or other rights of any third party.
We reserve the right, in our sole and absolute discretion and without prior notice or liability to you, to refuse, remove, restrict, or report any content, including reporting illegal content such as CSAM to law enforcement or child-safety authorities. Our determinations as to whether content violates the Agreement are final. To the fullest extent permitted by applicable law, if confidential or illegal content is disclosed as a result of your submission, GetABrain is not liable for damages arising from that disclosure.
Subject to your full payment, and as effected by the Worker's assignment in the Worker Agreement, you own the Responses to your Queries. To the extent any right does not transfer by that assignment, the Worker grants you a perpetual, worldwide, royalty-free, irrevocable license to use those Responses. You acknowledge that GetABrain retains the right to use content and data generated through the Service in de-identified and aggregated form to operate and improve the Service, as described in our Privacy Policy.
Responses are the personal opinions of independent individuals, are for general informational purposes only, and are not professional advice. You are responsible for how you use them. In particular, you agree that you will not use the Service or any Response:
If you include personal data about third parties in your Queries, you are the controller of that data and GetABrain processes it on your behalf. You represent that you have the legal basis, rights, and consents required to submit it and to have Workers process it. You must not submit sensitive personal data, government identifiers, health or financial account information, or other high-risk data unless you have a lawful basis and it is necessary for the task. You are responsible for your own privacy-law obligations to the individuals whose data you submit.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL RESPONSES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GetABrain does not guarantee:
Assumption of risk; release. You use the Service, and rely on any Response, at your own sole risk. To the fullest extent permitted by applicable law, you assume all risk arising out of or relating to your use of the Service and your reliance on any Response, and you release and forever discharge GetABrain and its owners, members, managers, officers, employees, agents, and affiliates from any and all claims, demands, losses, damages, liabilities, and causes of action of every kind, known or unknown, arising out of or in any way connected with your use of the Service, your reliance on any Response, or any interaction or dispute with any Worker or other user. This release does not extend to liability that cannot be released under applicable law, including liability arising from our own fraud, gross negligence, or willful misconduct.
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless GetABrain and its owners, members, managers, officers, employees, agents, and affiliates from and against any and all claims, demands, actions, investigations, damages, losses, liabilities, judgments, settlements, fines, penalties, costs, and expenses (including reasonable attorneys' fees and costs of investigation) arising out of or related to: any content you submit through the API or the platform; your use of any Response; your violation of this Agreement or the Terms of Service; your violation of any law or regulation; or any third-party claim arising from your Queries or your use of the Service.
We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, with counsel of our own choosing, in which case you agree to cooperate fully with our defense. You may not settle, compromise, or admit liability in any such matter without our prior written consent. This indemnity survives termination of this Agreement.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GETABRAIN AND ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, UNDER ANY THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS UNDER THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF THE TOTAL AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US $100. THESE LIMITATIONS ARE A FUNDAMENTAL BASIS OF THE BARGAIN AND APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY DO NOT APPLY WHERE PROHIBITED BY LAW, INCLUDING TO LIABILITY ARISING FROM OUR OWN FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT, OR TO ANY OTHER LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
To the fullest extent permitted by applicable law, we may suspend, restrict, deactivate, or terminate your Requestor account, your API credentials, or your access to all or any part of the Service, or remove any content, at any time, for any reason or no reason, with or without cause, and with or without notice, in our sole and absolute discretion, and without any liability to you. We owe you no cure period, no warning, and no obligation to state a reason, and we reserve the right to refuse service to anyone, for any lawful reason, at any time. If we terminate your account other than for fraud, abuse, chargebacks, or violation of the Agreement, we will return any unused paid (non-promotional) balance, less any amounts subject to set-off; amounts we determine are tied to fraud, abuse, chargebacks, or violations may be withheld or set off as described in Section 7. All rights not expressly granted to you in this Agreement are reserved by GetABrain and its licensors.
Disputes are subject to the binding individual arbitration agreement, class-action waiver, and Delaware governing-law and venue provisions in Sections 17–18 of our Terms of Service, which are incorporated here by reference.
