Worker Agreement

This Worker Agreement is part of your agreement with Uru Capital LLC, a Delaware limited liability company doing business as GetABrain.ai ("GetABrain", "we", "us"). It supplements our Terms of Service, which include a binding individual arbitration agreement and class-action waiver (with a 30-day opt-out) that also apply to you as a Worker. It also incorporates our Acceptable Use Policy and Privacy Policy.

1. Independent Contractor Status

You are an independent contractor, not an employee, agent, partner, or representative of GetABrain or of any Requestor. As an independent contractor:

• No guarantee of work, earnings, or access — whatsoever. GetABrain does not guarantee you any work, tasks, or Queries at all; any volume or availability of Queries; any minimum amount of work or hours; any minimum, guaranteed, or continued earnings or hourly rate; any particular Query; or any access or continued access to the Service, any feature, or any tier. Nothing is promised to you, and we do not guarantee that the platform will continue to operate. Your access to the Service is a revocable privilege, not a right. You are paid on a per-task (piece-rate) basis only, for Responses that are accepted and paid for by a Requestor.
• You control your work. You decide when, whether, where, and how much you work, you use your own equipment, and you are free to perform similar services for others, including our competitors.
• Taxes are your responsibility. You are solely responsible for all taxes on your earnings, including self-employment and income taxes. We do not withhold taxes. Tax onboarding and reporting (such as U.S. Form W-9 collection and any 1099 forms) are handled through Stripe, our payment partner.
• No employee benefits.You are not entitled to any employee benefits, including health insurance, retirement plans, paid time off, unemployment, or workers' compensation.

2. Eligibility and Verification

You must be at least 18 years old and legally permitted to work as an independent contractor. You authorize us and our partners (including Stripe) to verify your identity and eligibility, which may include email and phone verification and identity, fraud, and sanctions screening. Payouts require a verified Stripe account in good standing. Providing false information or failing verification may result in withheld payouts and termination.

3. Quality Requirements

Requestors may rate your Responses on a scale of 1 to 5 stars. Your quality score is the average of the ratings you have received. You are expected to:

• Provide thoughtful, accurate, and complete Responses to every Query you accept.
• Read and understand the full Query before responding.
• Maintain a professional and respectful tone.
• Submit Responses within the allotted time frame.

4. Rate Limiting

The number of Queries you can accept per hour is tied to your quality score:

• 5-star quality score: Up to 25 Queries per hour.
• 4-star quality score: Up to 15 Queries per hour.
• 3-star quality score: Up to 5 Queries per hour.
• 2-star quality score: Up to 1 Query per hour.
• 1-star quality score: Suspended from accepting new Queries.

New Workers without ratings start with a default rate limit, which adjusts automatically as you receive ratings. These limits may change.

5. Badge Tiers, Premium Access & Pay Premiums

Separately from your hourly rate limit, GetABrain assigns you a Bronze, Silver, Gold, or Platinum badge based on your quality score and rating history:

• Bronze: Starting tier for all Workers.
• Silver: Quality score of 3.0 or higher, with at least 3 ratings.
• Gold: Quality score of 3.75 or higher, with at least 3 ratings.
• Platinum: Quality score of 4.5 or higher, with at least 3 ratings.

Requestors may offer premium pay to Workers at a given badge tier, so reaching a higher tier can unlock higher-paying requests on top of a Query's base pay. In addition, some Requestors mark Queries as premium-tier. Premium-tier Queries are visible and answerable only to Workers who meet our top-tier bar — currently at least 100 ratings and a quality score of 4.5 or higher. These thresholds, tiers, and premiums may change at any time in our sole and absolute discretion. All determinations regarding quality scores, ratings, badge tiers, premium access, and rate limits are made by us in our sole and absolute discretion and, to the fullest extent permitted by applicable law, are final.

6. Suspension & Ban Policy

• Suspension. If your quality score falls below 1.5 and you have received 3 or more ratings, your account is automatically suspended and you cannot accept new Queries. Consistently rushing through Responses is also monitored and can lower your score. We may also suspend or restrict your account at any time as described in Section 13. You may appeal a suspension by contacting support; appeal decisions are made in our sole and absolute discretion and are final.
• Ban. A ban is permanent removal from the platform, issued in our sole and absolute discretion for serious or repeated violations, including bots, AI-assisted answers, plagiarism, or multiple accounts. Bans are not eligible for appeal and are final.

7. One Account Policy

Each individual may operate only one Worker account. Creating or operating multiple accounts is prohibited and will result in immediate termination of all associated accounts and a permanent ban. Earnings obtained through multiple accounts or other fraud may be withheld or reclaimed as described in Section 11.

8. Confidentiality

All Query content you receive is strictly confidential. You agree that you will not:

• Share, publish, or disclose the content of any Query to any third party.
• Take screenshots, recordings, or copies of Query content except as strictly necessary to complete the task on-platform.
• Discuss specific Query content on social media, forums, or any other channel.
• Use Query content for any purpose other than providing your Response.

These confidentiality obligations survive termination and may, if breached, result in a permanent ban and legal action.

9. Prohibited Activities

• No automated tools. You must not use any automated tools, scripts, or software to generate or assist in generating Responses.
• No AI assistance. You must not use AI models (including ChatGPT, Claude, Gemini, or any other AI system) to generate or substantially assist your Responses. All Responses must be genuinely human-generated by you.
• No bots. Using bots to interact with the platform is prohibited.
• No plagiarism. All Responses must be your own original work.
• No collusion. You must not coordinate with others to manipulate ratings, game the system, or inflate earnings.

10. Ownership of Responses; Likeness Release

Assignment.Effective upon acceptance and payment for a Response, you hereby irrevocably assign to the Requestor who submitted the Query all right, title, and interest — including all intellectual property rights — in and to that Response. To the extent any right cannot be assigned, you grant the Requestor and GetABrain a perpetual, worldwide, royalty-free, irrevocable, sublicensable license to use, reproduce, modify, and distribute the Response. To the maximum extent permitted by law, you waive any moral rights in your Responses.

Voice, video, and photo capture; likeness release. Some Queries ask you to record audio, video, or photos. If you submit such a Response, you grant GetABrain and the Requestor the right to use your recording and your name, voice, image, and likeness as captured in it, for the purposes of delivering and using the Response, subject to our Privacy Policy. You represent and warrant that you own or have all rights necessary to grant these rights, that the content is yours, and that it does not infringe or violate the rights of any third party. Do not include other people, copyrighted material, or private information you are not authorized to share.

11. Payment Terms

• You earn the full bid. You earn the full Query payment amount set by the Requestor for each Response that is accepted and paid for. The 15% platform fee is charged to the Requestor on top of that amount and is never deducted from your earnings.
• Minimum payout. The minimum payout threshold is $10.00. Earnings below the threshold accumulate until it is reached.
• Payout timing.Payouts are processed via Stripe and typically take 7–10 business days to reach your bank account after a payout is initiated.
• Your account details. You are responsible for keeping your Stripe and banking information accurate and up to date.
• Clawback and set-off. We may withhold, reverse, debit, or set off earnings that we determine, in our sole and absolute discretion, are tied to fraud, multiple accounts, manipulated ratings, automated or AI-assisted Responses, a Response that is later reversed or rejected, a Requestor payment that is charged back or reversed, or a violation of the Agreement. We may place a temporary hold on amounts under investigation pending our review. We may set off any amounts you owe us against your balance or future earnings. If earnings were already paid out before we discovered the fraud or violation, you agree to repay them on demand.
• Earned wages are paid. Amounts you have legitimately earned and that pass our verification checks will be paid to you once they meet the payout threshold, even if your account is later terminated. Only amounts tied to the fraud or violations described above may be withheld or reclaimed. We do not forfeit legitimately earned pay as a penalty.

12. Monitoring and Automated Decisions

To keep the platform human and fair, we collect behavioral and technical signals (such as interaction timing and device information) and use automated systems for bot detection, fraud prevention, quality scoring, rate limiting, and tier assignment, as described in our Privacy Policy. Some decisions — such as automatic suspension for a low quality score — may be made by automated means. You may request human review of a significant automated decision by contacting workers@getabrain.ai.

13. Termination

To the fullest extent permitted by applicable law, we may suspend, restrict, deactivate, or terminate your Worker account or your access to all or any part of the Service, or remove any content, at any time, for any reason or no reason, with or without cause, and with or without notice, in our sole and absolute discretion, and without any liability to you. We owe you no cure period, no warning, and no obligation to state a reason, and we reserve the right to refuse service to anyone, for any lawful reason, at any time. Grounds may include, without limitation, violation of any section of this Agreement, the Terms of Service, or applicable law, suspected fraud or abuse, consistently low quality, use of AI/bots, multiple accounts, or breach of confidentiality — but no ground is required. On termination, your legitimately earned, verified balance remains payable and is handled as described in Section 11. You may stop working and close your account at any time.

14. Assumption of Risk; Release; No Warranties

You use the Service at your own risk.To the fullest extent permitted by applicable law, the Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, and you assume all risk arising out of or relating to your use of the Service, your performance of tasks, the content of any Query, and your interactions with Requestors and other users.

Release. To the fullest extent permitted by applicable law, you release and forever discharge GetABrain and its owners, members, managers, officers, employees, agents, and affiliates from any and all claims, demands, losses, damages, liabilities, and causes of action of every kind, known or unknown, arising out of or in any way connected with your use of the Service, any Query or task, any rating or quality-score outcome, any suspension, restriction, or termination of your account or access, or any interaction or dispute with a Requestor or other user. This release does not extend to liability that cannot be released under applicable law, including liability arising from our own fraud, gross negligence, or willful misconduct, or to amounts you have legitimately earned that remain payable under Section 11.

The disclaimers, limitations of liability, indemnification obligations, and dispute-resolution provisions (including binding individual arbitration and the class-action waiver) in the Terms of Service apply to you as a Worker and are incorporated into this Agreement by reference. All rights not expressly granted to you are reserved.
